Introduction

This document outlines the Terms of Use (ToS) for the FileHound API ("API") developed by Element3 Software LTD ("Element3"), the official developers of FileHound Document Management™ ("FileHound™"). The purpose of this API is to facilitate integration with third-party applications and services, providing seamless access and control over FileHound's document management capabilities.


Scope of the API


The API provides access to the core functionality of FileHound, including:

  • Authentication and user management
  • File and folder management
  • Metadata and tag management
  • Search and retrieval
  • Version control

  • Audit trail and reporting


API Access and Usage

  • API access is granted to registered FileHound partners and customers subject to approval by Element3.
  • Users of the API must comply with the FileHound API documentation and guidelines provided by Element3. 
  • Element3 reserves the right to monitor API usage and enforce rate limits, as well as to suspend or terminate access in cases of non-compliance or abuse,


Security and Data Protection

  • API users are responsible for implementing and maintaining appropriate security measures to protect their API keys, credentials, and data. 
  • API users must comply with applicable UK data protection regulations and ensure that data accessed through the API is processed and stored securely. 
  • Element3 is not responsible for data breaches or unauthorised access resulting from the misuse of the API or insufficient security measures implemented by API users.


Intellectual Property

  • Element3 retains all rights, title, and interest in and to FileHound, the API, and any associated documentation, including all intellectual property rights. 
  • The API is provided for integration purposes only, and API users are not granted any rights to modify, distribute, or sublicense the API or FileHound software.


Support and Maintenance

  • Element3 will provide technical support for the API through designated channels, including email, phone, and online forums. 
  • Element3 will release updates and bug fixes for the API as needed and will notify API users of any changes that may affect integration.


Disclaimer of Warranty and Limitation of Liability

  • The API is provided "as is" and Element3 makes no warranties or representations, express or implied, with respect to the functionality, performance, or suitability of the API for any specific purpose. 
  • In no event shall Element3 be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of or inability to use the API, even if advised of the possibility of such damages.


Termination

  • Element3 reserves the right to terminate API access for any user at any time, with or without cause, upon written notice. 
  • Upon termination, API users must cease all use of the API and destroy any API keys, credentials, and related materials.


Governing Law

  • These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.


Amendments and Modifications

  • Element3 reserves the right to amend, modify or replace these Terms of Use at any time without prior notice. 
  • API users are responsible for regularly reviewing the Terms of Use for any updates or changes. Continued use of the API after any such amendments or modifications constitutes acceptance of the updated Terms of Use.


Indemnification

  • API users agree to indemnify, defend, and hold harmless Element3, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with the user's access or use of the API, violation of these Terms of Use, or infringement of any intellectual property or other rights of any third party.


Confidentiality

  • API users may have access to certain non-public, confidential, or proprietary information of Element3 ("Confidential Information") during their use of the API. 
  • API users agree to maintain the confidentiality of Confidential Information and to use it solely for the purpose of integrating their applications or services with FileHound. 
  • API users shall not disclose Confidential Information to any third party without the prior written consent of Element3.


API Documentation and Guidelines

  • Element3 will provide API users with comprehensive documentation and guidelines for proper integration with FileHound. 
  • API users are responsible for reviewing and adhering to the API documentation and guidelines, including any updates or revisions that may be published by Element3.

API Versioning and Compatibility

  • Element3 may release new versions of the API from time to time, which may include new features, improvements, or changes to existing functionality. 
  • Element3 will endeavour to maintain backward compatibility for API users when releasing new versions but cannot guarantee that all existing integrations will continue to work without modification. 
  • API users are responsible for updating their integrations as necessary to ensure compatibility with new API versions.


Third-Party Applications and Services

  • Element3 is not responsible for the functionality, performance, or compatibility of third-party applications or services integrated with FileHound through the API. 
  • API users are responsible for the quality, security, and support of their own applications and services and must ensure that they comply with all applicable laws, regulations, and industry standards.
